End-User License Agreement

This End-User License Agreement governs access to and use of Childcare OS, related websites, applications, APIs, integrations, and services provided by Childcare Marketing Group Ltd. By accessing or using the service, you agree to this EULA.

If you use the service on behalf of a nursery, childcare group, company, or other organisation, you represent that you have authority to bind that organisation. If a separate signed agreement, order form, data processing agreement, or subscription agreement applies, that agreement controls to the extent of any conflict.

Subject to this EULA and payment of applicable fees, CMG grants you a limited, non-exclusive, non-transferable, revocable license to access and use Childcare OS for your internal business operations.

You may permit authorised users to use the service for your organisation. You are responsible for those users, their permissions, and their compliance with this EULA.

You retain ownership of data, records, files, content, and other information that you or your authorised users submit to Childcare OS.

You grant CMG the rights needed to host, process, transmit, display, secure, back up, and otherwise use customer data to provide the service, operate requested features, support integrations, and comply with applicable law.

You are responsible for the accuracy, legality, quality, and permissions for customer data, including child, parent, staff, finance, and compliance records uploaded to the platform.

Childcare OS may allow you to connect third-party services such as QuickBooks Online, Xero, payment providers, messaging tools, calendar services, and other applications.

When you authorise an integration, you instruct CMG to exchange data with that provider as needed to provide the connected feature. Third-party services are not controlled by CMG and are governed by their own terms, privacy policies, fees, limits, and availability.

You are responsible for maintaining your third-party accounts, permissions, and compliance with provider terms. CMG may suspend or remove an integration if required by law, provider requirements, security needs, or service changes.

You must not misuse the service, interfere with security, attempt unauthorised access, reverse engineer restricted parts of the service, transmit unlawful or harmful content, overload the service, or use Childcare OS to violate applicable law or third-party rights.

You must keep account credentials secure and promptly notify us of suspected unauthorised access or security incidents involving your account.

Fees, billing cycles, usage limits, renewal terms, and cancellation rights are set out in the applicable order form, checkout flow, subscription terms, or written agreement.

Unless stated otherwise, fees are non-refundable except where required by law or expressly agreed in writing.

CMG and its licensors retain all rights, title, and interest in Childcare OS, including software, interfaces, workflows, designs, documentation, trademarks, and other intellectual property.

You may provide feedback or suggestions. We may use feedback without restriction or obligation to you, provided we do not disclose your confidential customer data except as permitted by applicable agreements.

Childcare OS may include AI, automation, or decision-support features. Outputs may be incomplete or inaccurate and should be reviewed by qualified users before reliance, especially for safeguarding, compliance, HR, finance, legal, or regulatory matters.

You are responsible for decisions made using the service and for ensuring your use of AI or automation features complies with applicable law, professional duties, and customer policies.

Our handling of personal data is described in our Privacy Policy and, where applicable, any data processing agreement entered into with a customer.

You must provide any required notices and obtain any required consents or lawful bases for personal data that you submit to the service or connect through integrations.

We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free operation. We may update, modify, suspend, or discontinue features from time to time.

We may perform maintenance, apply security patches, or change third-party integrations where needed to protect users, comply with law, or maintain the service.

Each party may receive confidential information from the other. The receiving party must use reasonable care to protect confidential information and use it only for purposes permitted by this EULA or an applicable agreement.

To the maximum extent permitted by law, the service is provided on an "as is" and "as available" basis. CMG disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Childcare OS supports business administration and operational workflows. It is not a substitute for professional legal, financial, accounting, safeguarding, medical, HR, or regulatory advice.

To the maximum extent permitted by law, CMG will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption.

Except for amounts that cannot be limited by law, CMG's aggregate liability arising from or relating to the service will be limited to the fees paid by the customer for the service during the 12 months before the event giving rise to the claim.

We may suspend or terminate access if you breach this EULA, fail to pay applicable fees, create security or legal risk, or use the service in a way that may harm CMG, customers, users, providers, or third parties.

You may stop using the service at any time, subject to the cancellation and data export terms in your applicable subscription or written agreement.

Unless a separate agreement states otherwise, this EULA is governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction, subject to any mandatory rights that cannot be excluded.

We may update this EULA from time to time. If changes are material, we will take reasonable steps to notify customers through the service, by email, or through another appropriate channel. Continued use of the service after changes become effective means you accept the updated EULA.
